These Creditor Member Terms and Conditions (“Terms”) govern access to and use of the YouNegotiate® platform by creditor agencies, law firms, healthcare systems, and other billing entities (“Member,” “Creditor,” “you”).

These Terms form a legally binding agreement between you and H2H Technologies, LLC, the owner and operator of the YouNegotiate® platform (“H2H,” “YouNegotiate®,” “we,” “us,” or “our”).

1. Acceptance of Terms

By creating a Creditor Member account, hosting accounts, or otherwise accessing or using the YouNegotiate® platform, you agree to be bound by these Terms.

If you do not agree, you may not access or use the platform.

You represent that you have the authority to bind the organization you represent.

Each Incorporated Document is available via hyperlink within the YouNegotiate® platform or at https://younegotiate.com/legal.

By accepting these Terms during account setup, you acknowledge that you have reviewed and agree to all Incorporated Documents. Incorporated Documents are binding as of their effective date, and continued use of the platform after updates constitutes acceptance.

2. Platform Role and Scope (Infrastructure-Only)

YouNegotiate® is a neutral technology infrastructure platform that enables Members to:

• Host billing and past-due consumer accounts
• Provide secure digital access for consumer communications
• Facilitate payment plans, offers, and negotiations
• Deliver digital letters and validation notices
• Maintain audit logs and reporting
• Display optional DFA bill-pay gift links

Important Disclaimers — No Agency, No Collection, No Funds Control

• H2H is not a creditor, collector, agency, or law firm
• Does not engage in debt collection
• Does not provide legal, financial, or tax advice
• Does not process or hold funds
• Does not control creditor balances or settlement decisions

All actions taken with respect to consumer accounts are initiated,governed, and controlled exclusively by the Member.

3. Payment Processing & Funds Flow

All consumer payments:

• Are processed directly through the Member’s own merchant processor
• Flow from the consumer to the Member’s merchant account
• Are tokenized and transmitted using secure third-party infrastructure (including Basis Theory)

H2H never:

• Takes custody of funds
• Acts as a payment processor or money transmitter
• Comingles, escrow holds, or redirects payments

You are solely responsible for:

• Merchant processing agreements
• Payment authorization, settlement, and reconciliation
• Chargebacks, refunds, and disputes

4. Debt Free Americans (DFA) Bill-Pay Gift Links

YouNegotiate® may host and display optional bill-pay gift links provided by Debt Free Americans, a separate nonprofit entity.

• Gift links allow third parties
• H2H does not solicit donations, guarantee funding, or control donor activity
• H2H does not determine tax deductibility, eligibility, or donor compliance

All gift payments, when made, are applied through the Member’s merchant processor.

5. Membership Plans, Hosting & Fees

Membership fees are based on:

• Number of accounts hosted
• Platform usage
• Communication volume

Fees may include:

• Monthly or annual hosting fees
• Per-communication or per-delivery charges (e.g., digital letters)

All fees are:

• Non-refundable
• Required to support infrastructure, security, compliance tooling and audit retention

H2H may suspend or terminate access for non-payment or misuse.

Current membership plans, pricing, and usage fees are displayed within the YouNegotiate® platform at the time of selection and payment setup and may change from time to time in accordance with these Terms.

6. Data Ownership & License

You retain ownership of all data you upload or generate.

By using the platform, you grant H2H a limited, non-exclusive, royalty-free license to host, process, transmit, and store such data solely to operate and maintain the platform.

You represent and warrant that:

• You have lawful authority to upload and use the data
• Data provided is accurate and compliant with applicable law

H2H is not responsible for the accuracy, legality, or completeness of Member-provided data.

7. Compliance Responsibilities

H2H provides infrastructure tools designed to support compliance workflows (e.g., audit logs, validation delivery, communication tracking).

However:

• The Member is solely responsible for compliance with all applicable federal, state, and local laws, including but not limited to FDCPA, FCRA, CFPB rules, state bar rules, and healthcare billing regulations
• H2H does not monitor, approve, supervise, or validate Member conduct or legal compliance, whether inside or outside the platform.

8. Authorized Service Providers and BPO Access

Members may authorize third-party service providers, including billing service providers, revenue cycle management firms, business process outsourcing providers (“Authorized Service Providers” or “BPOs”), to access the YouNegotiate® platform solely on the Member’s behalf.

Responsibility & Control

• All Authorized Service Providers act exclusively under the direction, supervision, and control of the Member
• No Authorized Service Provider shall be deemed an agent, partner, contractor, or representative of H2H Technologies
• H2H does not supervise, manage, audit, or approve BPO activities or personnel

Compliance & Liability

1. The Member remains fully responsible for:
• All actions taken by Authorized Service Providers
• Compliance with applicable laws and regulations
• Accuracy of data, communications, balances, and consumer interactions
2. Any act or omission by an Authorized Service Provider shall be treated as an act or omission of the Member

Access Controls

1. Members are responsible for:
• Provisioning and revoking BPO user access
• Ensuring least-privilege of access
• Maintaining confidentiality and security obligations
2. H2H may suspend access if BPO usage creates security, compliance, or operational risk

No Delegation of Platform Role

1. Authorized Service Providers may not:
• Represent themselves as YouNegotiate®, H2H Technologies, or Debt Free Americans
• Imply platform ownership, partnership, or endorsement
• Modify platform branding, workflows, or consumer disclosures

Indemnification

• Members agree to indemnify and hold harmless H2H Technologies from all claims, damages, fines, penalties, or regulatory actions arising from Authorized Service Provider access or conduct.

9. Communications & Digital Letters

Members may initiate digital communications through the platform, including:

• Secure messages
• Demand letters
• Validation notices

All communications:

• Are initiated by the Member
• Are prepaid
• Are logged for audit purposes

H2H does not determine message content, legal sufficiency, or delivery outcomes.

10. Account Access, Security & Suspension

Members are responsible for:

• User access management
• Credential security
• Internal authorization controls

H2H may suspend or terminate access if:

• Fees are unpaid
• The platform is misused
• There is a security or compliance risk

Suspension may impact consumer access and payment visibility.

11. Intellectual Property

All platform technology, software, trademarks, and documentation are the exclusive property of H2H Technologies.

Members may:

• Reference YouNegotiate® as a hosted platform
• Display approved branding where authorized

Members may not:

• Claim ownership
• Imply partnership, endorsement, or agency
• Reverse engineer or replicate platform functionality

12. Confidentiality & Security

Each party agrees to protect non-public business, technical, and consumer information and use it only for authorized purposes.

H2H maintains industry-standard security controls but does not guarantee uninterrupted or error-free operation.

13. Termination & Data Retention

Either party may terminate membership.

Upon termination:

• Access will be disabled
• Limited data may be retained for legal, audit, and compliance purposes
• No refunds will be issued

14. Limitation of Liability & Indemnification

To the maximum extent permitted by law:

• H2H shall not be liable for indirect, incidental, consequential, or punitive damages
• Total liability shall not exceed fees paid in the preceding 12 months

You agree to indemnify and hold harmless H2H from any claims arising from:

• Your data
• Your consumer interactions
• Your compliance obligations
• Your use of the platform

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada.

All disputes shall be resolved through binding arbitration in Nevada, and class actions are waived.

16. Updates to Terms

H2H may update these Terms periodically. Continued use after notice constitutes acceptance.

Nothing in these Terms grants Member any ownership interest in the YouNegotiate® platform, technology, or intellectual property.
