1. Acceptance of Terms
By creating a YouNegotiate creditor account or using the platform, you agree to these Terms and Conditions ("Terms").
If you do not agree, you may not use the platform. These Terms form a legally binding agreement between you
("Creditor" or "Member") and H2H Technologies ("H2H", "we", "our", or "us").
2. About H2H Technologies and the YouNegotiate Platform
YouNegotiate is a digital billing and self-service platform that allows creditors, consumers, and donors to manage
delinquent accounts, payment plans, and communications through a secure online environment. YouNegotiate is a
facilitation platform — not a collection agency, payment processor, or legal advisor. All transactions are routed
securely through Basis Theory and deposited directly from your merchant processor account.
The tools and features available to creditor members — including data management, communication, compliance
automation, and payment facilitation modules — are detailed in the current “YouNegotiate Services Overview”
(Exhibit A), which may be updated periodically.
3. Membership Plans and Fees
Membership plans are based on the number of accounts hosted. Fees are billed monthly or annually and are
non-refundable due to hosting, compliance, and communication costs. H2H may suspend or terminate accounts
for non-payment or misuse. Communication fees for ecoLetters and notices are charged at the time of sending.
4. Data Ownership and License
You retain ownership of all data you upload to YouNegotiate. By uploading data, you grant H2H Technologies a limited,
non-exclusive, royalty-free license to host, process, and use the data solely to operate the platform and provide
services. H2H is not liable for inaccurate or incomplete data provided by creditors.
5. Compliance Responsibilities
H2H provides tools for FDCPA and CFPB compliance through automated communication and balance management.
However, creditors remain responsible for compliance related to activity conducted outside the platform.
6. Account Access and Suspension
Each creditor account may include up to three authorized users. H2H may suspend, deactivate, or terminate accounts
for non-payment, misuse, or security risk. In such cases, all associated consumer access and payment plans may also
be suspended or deactivated.
7. Communications and ecoLetters
All communications initiated through the platform must be prepaid. H2H maintains communication audit logs for
compliance purposes. Inactive or expired consumer accounts may be deactivated per platform policy.
Hosting fees include automated communication campaigns to manage consumers and provide 24/7 support.
8. Intellectual Property
All trademarks, brand assets, and technology are the property of H2H Technologies. Creditors may display the
YouNegotiate logo or embed code to identify membership but cannot imply ownership or partnership beyond
authorized use.
9. Confidentiality
Both parties agree to maintain the confidentiality of non-public business, technical, and consumer information shared
while using the platform.
10. Termination
Membership may be canceled at any time. H2H may suspend or terminate access immediately for non-payment, misuse,
or violations. Upon termination, H2H may retain limited data for audit and compliance purposes.
11. Limitation of Liability
H2H Technologies is not liable for indirect, consequential, or incidental damages, including loss of data or business.
You agree to indemnify H2H from any claims arising from misuse, inaccurate data, or non-compliance.
12. Governing Law and Dispute Resolution
These Terms are governed by Nevada law. Disputes shall be resolved exclusively through binding arbitration in Nevada.
Class or representative actions are not permitted.
13. Updates to Terms
H2H Technologies may update these Terms periodically, with notice via email or in-platform message.
Continued use of the platform after notice means acceptance of the updated Terms.
